B2B Terms of Service

Version 2026-11.

These Terms of Service ("Terms") govern access to and use of Warka Vision ("Warka", "we") by an organization ("Customer"). The person who accepts these Terms confirms that they are authorized to bind the Customer. These Terms, the Biometric Data Processing Terms, and any order or plan the Customer selects together form the agreement between the parties ("Agreement").

1. Definitions

"Service" means Warka's API, administration console, documentation and related software. "Customer Data" means data the Customer or its users submit to the Service. "Enrolled Person" means a person whose data the Customer submits. "Plan" means the commercial plan the Customer selects, including its fees and limits. "Sandbox" means the test environment of the Service. "Production" means the live environment of the Service. "Attempt" means one live capture session.

2. The service

Warka provides an API and administration portal for tenant-scoped, one-to-one face verification and presentation-attack screening. Warka is a technical service for organizations. It is not an attendance system, a human-resources system or an employer, and it does not communicate with the Customer's employees. Warka may improve or change the Service, provided that a change does not materially reduce the core function of a paid Plan during a period already paid for.

3. Accounts and access

The Customer must give accurate organization and billing details and keep them current. The Customer is responsible for its users, their roles, the security of their credentials, and everything done under its account. Users must verify their email address, and staff areas may require multi-factor authentication. The Customer must tell Warka promptly about any unauthorized use of its account or keys.

4. What a decision means

Warka returns technical decisions and signals. A decision is not a finding that a person was present, absent, dishonest or ineligible for pay. Similarity and screening scores are not probabilities. The Customer alone decides what follows from a decision, including attendance, payroll and discipline, and must give people a way to challenge a result through the Customer's own process.

5. Pilot limitations

While the Service runs in restricted pilot mode, presentation-attack detection has not been validated on relevant attack media, and successful matches return manual_review. No system prevents all attacks. The Service does not address every replay, camera-injection, synthetic-media or mask attack.

6. Customer responsibilities

The Customer:

  • obtains and keeps every authorization, notice and permission its use requires under the law that applies to it;
  • decides who may be enrolled, enrolls only people covered by those permissions, and does not enroll anyone else;
  • runs any alternative arrangement for people who are not enrolled;
  • handles all communication with its employees and other Enrolled Persons;
  • keeps API keys on its servers and never places them in mobile apps or browser code;
  • tells Warka promptly about withdrawals, erasure requests and changes that affect data it has sent;
  • complies with the laws that apply to its use of the Service, including employment, data protection and export control laws.

Warka does not ask Enrolled Persons to sign anything and does not hold their consent records. The Customer keeps those records.

7. Acceptable use

The Customer must not use the Service to identify unknown people, to infer sensitive characteristics, for covert surveillance, against a person's rights under applicable law, to probe or attack the Service, or to extract models. The Customer must not resell the Service without written agreement, bypass its limits, reverse engineer it except where the law allows this despite any agreement, use it to build a competing product, or submit unlawful material or malicious code.

8. Plans, fees and quotas

Fees and limits follow the Plan shown when the Customer subscribes. Fees are in US dollars and exclude taxes, which the Customer pays unless the law says otherwise. The Developer Plan is free and covers the Sandbox only. Paid Plans cover Production and renew for the same period until cancelled.

Each live capture session counts as one Attempt, whatever its outcome, including rejected, retried and abandoned sessions. Sandbox sessions do not count against a paid Plan. When a quota is used up, the API returns 429 quota_exceeded. Warka does not charge for overage automatically. Added capacity, including capacity at the overage rates published for a Plan, requires an arrangement agreed in advance. Unused quota does not carry over.

Warka may change Plan prices for a future period by giving notice before that period starts. Private and on-premise arrangements need a separate written agreement.

9. Invoices and payment

Production starts after Warka has verified payment. Invoices are due by the date shown on them. Fees for a period already started are not refundable unless applicable law or a written agreement says otherwise. An overdue account enters a grace period and may then be suspended. The Customer pays its own bank and transfer charges. A receipt the Customer uploads does not activate the Service until Warka has reviewed it.

10. Service levels and support

Warka gives no uptime commitment during the pilot. Warka will make reasonable efforts to keep the Service available and to answer support requests made through the console. Planned maintenance, events outside Warka's control and the Customer's own systems are not failures of the Service.

11. Customer Data and security

The Customer owns Customer Data and gives Warka the rights needed to provide the Service. The Biometric Data Processing Terms govern how Warka handles it, and they prevail over these Terms for personal data. Warka encrypts stored biometric data, separates tenants, and keeps audit records. Warka will notify the Customer without undue delay after confirming a security incident affecting the Customer's data, with the information it then has. Warka uses Customer Data for research only under the separate Research Processing Addendum, which is optional.

12. Intellectual property and feedback

Warka and its licensors own the Service, its models and its documentation. The Customer receives a limited, non-exclusive, non-transferable right to use the Service during the term of the Agreement. Warka may freely use suggestions and feedback the Customer gives, without any obligation to the Customer.

13. Name and logo

The Customer grants Warka a non-exclusive, worldwide, royalty-free license to use the Customer's name and logo to identify the Customer as a customer or partner of Warka, including on Warka's website, in its marketing material and in its presentations. Warka will follow any reasonable brand guidelines the Customer gives it. This use does not mean that the Customer endorses Warka, and it transfers no rights in the Customer's marks. The Customer may withdraw this permission at any time in the console or by writing to Warka, and Warka will then remove the name and logo from its website promptly and stop new uses.

14. Confidentiality

Each party will protect the other's confidential information with reasonable care, use it only for the Agreement, and share it only with people who need it and are bound to protect it. This does not apply to information that is public, already known, independently developed or lawfully received from someone else. A party may disclose information when the law requires it, and will give notice first where the law allows.

15. Suspension and termination

Warka may suspend access for non-payment, security risk or breach of these Terms. Either party may end a subscription at the end of a billing period. Either party may end the Agreement if the other materially breaches it and does not fix the breach within 30 days of written notice. After termination, access ends and Warka deletes Customer Data as described in the Biometric Data Processing Terms. Sections that by their nature should survive termination do so, including those on fees, confidentiality, liability and governing law.

16. Warranties and disclaimers

Each party confirms that it has the power to enter into the Agreement. To the extent the law allows, the Service is provided as is during the pilot, without any warranty that it will be uninterrupted, error free or suitable for a particular purpose. Warka does not promise any particular accuracy, and it does not promise that the Service satisfies a legal or regulatory requirement that applies to the Customer.

17. Liability

To the extent the law allows, neither party is liable for indirect or consequential loss, lost profits, lost revenue or lost data, and each party's total liability is limited to the fees paid in the three months before the event giving rise to the claim. Nothing limits liability that cannot legally be limited.

18. Indemnity

The Customer will defend and compensate Warka against third-party claims that arise from Customer Data, from enrolling people without the permissions these Terms require, from decisions the Customer makes using the Service, or from the Customer's breach of Sections 6 or 7. Warka will give prompt notice of the claim and reasonable help at the Customer's cost.

19. Events outside a party's control

Neither party is liable for delay or failure caused by events outside its reasonable control, including network or power failures, failures of third-party providers, natural disasters, war, civil unrest, and acts of government. This does not excuse payment of fees already due.

20. Changes

Warka will publish a new version before any material change takes effect and will ask for acceptance again.

21. General

The Customer may not assign the Agreement without Warka's written consent. Warka may assign it to an affiliate or a successor to its business. Notices to the Customer may go to its billing or account email address, and notices to Warka must go to contact@warka-iq.com. If part of the Agreement cannot be enforced, the rest stays in force. A failure to enforce a right is not a waiver of it. The Agreement is the entire agreement between the parties on its subject and replaces earlier discussions. No purchase order terms apply unless Warka agrees to them in writing.

22. Governing law and language

The laws of the Republic of Iraq govern the Agreement, and the courts of Baghdad have jurisdiction, unless mandatory law requires otherwise. These Terms are published in Arabic and English. If the two differ, the Arabic text prevails.
